MediLink Logistics LTD - Terms & Conditions

1. Definitions
  • "Carrier", "We", "Us", "Our": MediLink Logistics.

  • "Customer", "You", "Your": The person, company, or laboratory contracting with the Carrier for the services.

  • "Consignment": Any goods, samples, or materials (whether in one or multiple parcels) sent at one time from one sender to one receiving address.

  • "Cold Chain": Goods requiring transportation within a strictly monitored temperature range (e.g., 2°C to 8°C or 15°C to 25°C).

2. Application of Terms

2.1. These Terms and Conditions apply to all courier and transport services provided by MediLink Logistics, to the exclusion of any other terms that the Customer seeks to impose or incorporate. 2.2. By handing over a Consignment to our driver, the Customer is deemed to have accepted these Terms.

3. Customer Warranties & Packaging (UN3373 & Hazardous Goods)

3.1. The Customer warrants that all Consignments are correctly described, properly labelled, and completely safe for transport by road. 3.2. Biological Substances: If the Consignment contains biological samples, the Customer warrants that it has been packed strictly in accordance with UN3373 Category B regulations (including PI 650 packing instructions, utilising primary leak-proof receptacles, secondary packaging, and an outer rigid package). 3.3. The Carrier reserves the right to refuse, quarantine, or safely dispose of any Consignment if it is found to be leaking, improperly packaged, or posing a biohazard risk to our drivers or the public, at the Customer’s expense. 3.4. We do not accept Category A Infectious Substances or Radioactive materials without prior written consent and specialised contract arrangements.

4. Temperature Controlled Transport (GDP)

4.1. The Carrier operates under Good Distribution Practice (GDP) guidelines. 4.2. The Customer must explicitly state the required transport temperature range at the time of booking. 4.3. Pre-conditioning: The Customer warrants that all temperature-sensitive goods are already at the required temperature prior to handover. The Carrier’s vehicles are designed to maintain temperature, not to cool down ambient goods. 4.4. The Carrier will provide electronic Proof of Delivery (ePOD) and, upon request, a digital temperature logger report for the duration of the transit.

5. Limitation of Liability (CRITICAL)

5.1. The Carrier shall take all reasonable skill and care to protect the Consignment during transit. 5.2. Limit of Liability: In the event of loss, physical damage, or temperature excursion caused by the Carrier’s negligence, our total liability shall be limited to the replacement value of the physical goods/samples, or a maximum of £10,000 per Consignment, whichever is the lesser. 5.3. Consequential Loss: Under no circumstances shall the Carrier be liable to the Customer for any indirect, special, or consequential loss. This includes, but is not limited to: loss of profits, loss of a clinical trial, loss of scientific data, business interruption, or loss of reputation, even if the Carrier was advised of the possibility of such damages. 5.4. Claims: Any claim for loss, damage, or temperature deviation must be made in writing within 7 days of the delivery date (or the scheduled delivery date in the event of total loss).

6. Delivery & Transit

6.1. Transit commences when the Consignment is physically handed to the Carrier's driver and ends when it is handed to the recipient or an authorised person at the delivery address. 6.2. If the receiving location is closed, or the recipient refuses to accept the Consignment, the Carrier will attempt to contact the Customer for instructions. Any return journeys or overnight temperature-controlled storage will be billed as an additional charge. 6.3. The Carrier will provide estimated collection and delivery times, but these are estimates only. Time is not "of the essence" unless explicitly agreed in writing for a specific "Stat/Emergency" booking.

7. Charges and Payment Terms

7.1. Invoices are generated weekly or monthly as agreed. 7.2. Payment is due strictly within 30 days of the invoice date unless a different timeframe is negotiated in writing. 7.3. The Carrier reserves the right to charge statutory late payment interest at 8% above the Bank of England base rate on any overdue balances, alongside debt recovery costs. 7.4. The Carrier holds a general lien on all Consignments in our possession until all outstanding invoices owed by the Customer are paid in full.

8. Force Majeure

8.1. The Carrier shall not be liable for any delay, loss, or damage caused by circumstances beyond our reasonable control. This includes, but is not limited to: severe weather, acts of God, road closures, traffic accidents, civil unrest, or interventions by government/MHRA authorities.

9. Governing Law

9.1. These Terms and Conditions, and any contract formed under them, shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction over any disputes.
